Nscale Raises $3.36 Billion in Convertible Financing Before IPO

British AI neocloud Nscale has secured $3.36 billion in convertible-note financing ahead of its planned US initial public offering later this year. Hedge fund Third Point led the investment, which gives Nscale $2.36 billion immediately and includes a further $1 billion from existing investor Nvidia, due in mid-November.

The financing will convert into equity shares once Nscale completes its IPO. The company filed its IPO paperwork last week, positioning the transaction as part of a wider effort to fund the infrastructure required for large-scale AI computing.

Financing arrives ahead of a proposed NYSE listing

Nscale is expected to be valued at $35 billion on the New York Stock Exchange, the Financial Times reported. Bloomberg reported that the company is seeking to raise $3 billion in the offering. Neither reported figure changes the structure of the new financing: the notes are designed to become shares after the IPO is completed.

The size and timing of the investment follow Nscale's pre-IPO financing discussions as Nscale moved from financing discussions toward a completed $3.36 billion convertible round. The arrangement combines capital available now with Nvidia’s additional $1 billion commitment scheduled for mid-November.

Data-centre expansion requires substantial capital

Nscale was spun out of Australian cryptocurrency mining company Arkon Energy two years ago. In its IPO filing, the company said it had accumulated more than $103 billion in contracts, underscoring the scale of the workloads it is pursuing in the AI infrastructure market.

The company is developing several large data-centre campuses, including sites in Norway and West Virginia. Building and operating such facilities requires investment in physical capacity as well as the computing infrastructure needed to serve AI customers, which makes access to financing central to Nscale’s expansion plans.

What businesses should consider

For organisations buying AI compute, the transaction is a reminder that provider capacity depends not only on contracted demand but also on the funding needed to deliver campuses and infrastructure. Procurement teams can assess delivery plans, financing milestones and service commitments alongside price and available capacity when selecting long-term cloud partners.
